About

Spring is a partner in the Corporate and Commercial practice group. Prior to founding Lee & Poh Partnership (LPP Law), she was an associate in the Corporate M&A and Corporate Real Estate practice groups at Rahmat Lim & Partners, an associate firm of Allen & Gledhill LLP Singapore. Spring also worked as a lawyer at Trowers & Hamlins LLP, the first UK-based Qualified Foreign Law Firm licensed by the Malaysian Bar Council.

Spring specialises in both domestic and cross-border share and asset acquisitions and divestments. Her other areas of expertise include assisting with joint ventures, drafting and reviewing commercial contracts, equity fundraising, foreign IPOs, general corporate and commercial advice, and corporate reorganisations.

  • Assisting the IPO underwriter, Network 1 Financial Securities Inc. (“Network 1”), in the initial public offering of Starbox Group Holdings Ltd. on the U.S. Nasdaq Stock Market.
  • Assisting Agape ATP Corporation with the uplisting of its shares from the U.S. over- the-counter markets to the U.S. Nasdaq Stock Market.
  • Assisting Network 1 the uplisting of the shares of EvoAir Holdings Inc. from the U.S. over-the-counter markets to the U.S. Nasdaq Stock Market.
  • Assisting US Tiger Securities, Inc., the U.S. underwriter, in the listing of the shares of Founder Group Limited on the U.S. Nasdaq Stock Market.
  • Assisting US Tiger Securities, Inc., the U.S. underwriter, with the proposed listing of the shares of a company in the business of designing, building, managing, and operating indoor CEA vertical farms on the U.S. Nasdaq Stock Market.
  • Assisting a holding company with Malaysian subsidiaries specialising in delivering comprehensive packaging solutions in the listing of its shares on the U.S. Nasdaq Stock Market.
  • Assisting a holding company with Malaysian subsidiaries specialising in the renting and leasing of machinery and equipment in the listing of its shares on the U.S. Nasdaq Stock Market.
  • Assisted in the acquisition of ordinary shares in a company operating in the hypermarket industry, with a purchase consideration of approximately RM300 million.
  • Advised and assisted three private individuals in the disposal of 75% of their ordinary shares in their company to a company controlled and backed by Creador, a Southeast Asia-based private equity firm that manages several private and public equity funds totalling more than US$2.2 billion, with a purchase consideration of approximately RM59 million.
  • Assisted shareholders of a family-owned private limited company, which is in the business of providing value-added ingredients and services to the pharmaceutical, food, and nutraceutical industries, as well as being a supplier for top-tier pharmaceutical, health supplements, and food manufacturers in Malaysia and Singapore, in selling all their shares to a Swiss company headquartered in Zurich, with an aggregate purchase price of approximately RM38 million.
  • Advised and assisted a local investment company in disposing of 60% of its ordinary shares to a company controlled by Navis Capital Partners, a Southeast Asian private equity firm, for the purpose of acquiring a 6-storey private hospital project development.
  • Assisted private individuals in the disposal of 100% of their ordinary shares in two companies in the medical devices manufacturing and supplies industry, to an Australasian medical devices group backed by Navis Capital Partners, at an indicative offer price of approximately RM40 million.
  • Advised and assisted Carro, Southeast Asia’s largest automotive marketplace with a presence in Singapore, Indonesia, and Thailand, with its strategic investment in myTukar, a Malaysia-based car bidding platform, at an investment value of USD30 million.
  • Advised and assisted iMedia Asia Sdn. Bhd., a wholly owned subsidiary of Catcha Digital Berhad, a leading digital media group in Malaysia, with its acquisition of the remaining 49% of shares in Ittify Sdn. Bhd., a company that operates a social media influencer marketing platform in Malaysia, at a purchase consideration of RM3.45 million.

  • Speaker for webinars organised by the KLBC Corporate & Conveyancing Practice Committee on ‘Key Considerations When Drafting Shareholders’ Agreements.’
  • Spoke at a seminar organised by Finsource Group on the topic of ‘Mergers and Acquisitions from a Legal Practitioner’s Perspective.’
  • Spoke on the topic of ‘Importance of Shareholders’ Agreements’ at the Mystartr Dream Factory Start-Up Competition.
  • Spoke on the topic of ‘3 Important Things All Shareholders Should Take Note of’ at a talk organised by Vimigo’s IIO Club.
