About

Teong Xiao Yin is a Partner in the Corporate, Commercial & Real Estate practice of Lee & Poh Partnership (LPP Law). She brings a broad‑based legal background and a well‑rounded perspective across both contentious and non‑contentious matters.

Her practice focuses on corporate and commercial advisory, mergers and acquisitions and corporate real estate transactions. She regularly advises clients on the structuring, negotiation and execution of transactions, including initial public offerings, company acquisitions and land, building and property purchases, and is closely involved throughout the transaction lifecycle, from initial structuring and negotiations through to completion and post‑closing integration.

In addition to her transactional practice, Xiao Yin has experience in litigation matters from initial assessment and strategy formulation through to trial preparation and submission, giving her a holistic understanding of dispute resolution. This dual exposure allows her to provide practical and commercially grounded advice, supported by a clear understanding of legal risk management as well as real‑world business considerations.

  • Assisted US Tiger Securities, Inc., the U.S. underwriter, in connection with the proposed listing of the shares of a company operating as a vertically-integrated indoor vertical farming business on the U.S. Nasdaq Stock Market.
  • Assisted a company specialising in the processing and trading of frozen seafood products in connection with its initial public offering on the ACE Market of Bursa Malaysia Securities Berhad.
  • Assisting holding companies with Malaysian subsidiaries operating across various industries, including entertainment, technology-related services, equipment rental and the audio‑visual services in connection with the proposed listing of their shares on the U.S. NASDAQ Stock Market.
  • Assisted the individual shareholders of a renowned supermarket chain in Malaysia in its acquisition of the largest supermarket and hypermarket chain in Sabah, with a purchase consideration of approximately RM314 million.
  • Assisted a subsidiary of a Shanghai‑listed automotive company in relation to its acquisition of industrial land and the leasing of two industrial properties, involving an aggregate commitment of approximately RM140 million, comprising the purchase consideration and rental commitments over a six‑year term.
  • Assisted private individuals in the disposal of 100% of their ordinary shares in two companies in the medical devices distribution industry, to an Australasian medical devices group backed by Navis Capital Partners, with a purchase consideration of approximately RM56 million (excluding earn out payments).
  • Assisted one of the largest fund managers in Southeast Asia, in connection with its multi-jurisdictional acquisition of a leading software development business operating in Netherlands and Malaysia.
  • Assisting a wholly owned subsidiary of a company listed on the Shenzhen Stock Exchange in its acquisition of industrial land, with a purchase consideration of RM24 million.
  • Assisted a subsidiary of a Singapore Exchange-listed company in the acquisition of a company from a subsidiary of Khazanah Nasional Berhad, with a purchase consideration of approximately RM32 million.
  • Assisted private individuals in the disposal of 100% of their ordinary shares in a company operating in the medical equipment, system and consumables supply sector, to an Australasian medical devices group backed by Navis Capital Partners, with a purchase consideration of approximately RM18.8 million (excluding earn out payments).
  • Assisted private individuals in the disposal of 60% of their ordinary shares in a company specialising in the event management, promotion and advertising sector to an Ace Market-listed company on Bursa Malaysia Securities Berhad engaged in the digital media, advertising and technology business, with a purchase consideration of approximately RM16.2 million.
  • Successfully defended a claim against a high‑net‑worth individual involving claims over all of his property portfolio.

  • Spoke at a seminar organized by KMS Business Solutions Sdn Bhd on key considerations in shareholders’ agreement and buy-sell agreement.
  • Delivered a talk at a Family-Owned Business Workshop organized by KMS Business Solutions Sdn Bhd focusing on governance and exit mechanisms under shareholders’ and buy‑sell agreements.
