About

Angelina is our resident partner heading the Johor Bahru branch of Lee & Poh Partnership. She commenced her legal practice in a leading law firm in Malaysia before joining Lee & Poh Partnership in 2025.

She is experienced in corporate and commercial law with a particular focus on real estate and corporate advisory matters. She regularly advises corporations, companies and real estate developers on the acquisition and disposal of properties, including complex transactions such as sale and leaseback and build-to-suit arrangements. Her expertise also extends to drafting and negotiating commercial and industrial leases and tenancies.

In addition to real estate, she also has experience in general corporate advisory including the drafting and negotiations of shareholders agreements, service agreements and power purchase agreements.

Angelina also draws upon her background as an experienced dispute resolution lawyer. While her practice now primarily focuses on transactional matters, her prior litigation expertise includes complex corporate, commercial and civil litigation such as director and shareholder disputes, corporate fraud, oppression actions, contentious liquidation proceedings, debt recovery and contractual disputes.

Experience

  • Acted for a leading real estate developer in a build-to-suit transaction involving an industrial property valued at RM65 million
  • Drafted and negotiated several multimillion leases for several industrial properties involving an international logistics conglomerate
  • Acted as part of the counsel team in opposing an attempt to reverse a RM2 million land acquisition involving issues ofcollateral attack, statutory bars and abuse of process
  • Acted as part of a global legal team in a multi-jurisdictional corporate tussle over majority control of a large timber conglomerate (including numerous public listed companies) with approximately 50 legal actions filed in various countries which involved issues of shares dispute, boardroom tussle and deadlock, estate claims, ‘just and equitable’ winding-up proceedings and quasi partnership
  • Successfully defended a shareholder against several complex minority shareholder’s oppression suits filed in relation to a public listed company which involved issues of breach of directors’ duties, allegations of insider trading and interpretation of shareholders’ class rights under its articles of association
  • Successfully defended a client against a fraudulent trading suit under the now repealed Companies Act 1965 in relation to a Sukuk instrument of RM150 million which involved issues of shadow directors and conspiracy to defraud
  • Successfully represented a client in obtaining an injunction to restrain a shareholders’ meeting of a listed company involving issues of validity of notice and improper removal of directors
  • Acted as part of the counsel team in an arbitration for a leading Malaysian pharmaceutical company in a RM10 million dispute
  • Acted as part of the counsel team in a complex global litigation in relation to a group of family companies which involved a range of legal actions, including winding up proceedings under the ‘just and equitable’ provision, leave for derivative proceedings and issues of novelty pertaining to the Mental Health Act 2001 that went up to the Federal Court for determination
  • Represented a shareholder in striking out a winding up petition filed against the flagship company of a well-known Malaysian family business conglomerate which involved issues of breach of director’s fiduciary duties and fraud
  • Rendered advice to an Australian medical company in relation to joint venture disputes with a local medical facility involving breach of shareholders’ agreement and misrepresentation
  • Rendered advice to a French conglomerate in respect of a €8 million claim pertaining to winding up proceedings and schemes of arrangement
